PRESCRIBED PARTICULARS DRAFTING

In certain situations, the Companies Act 2006 requires a company with share capital to deliver prescribed particulars of the rights attaching to its classes of shares to the Registrar of Companies (in relation to voting, dividends, capital and redemption).

Common situations where prescribed particulars must be filed include on submitting your annual return (voting rights only), on incorporating a company and on allotment of shares.

Prescribed particulars must also be filed in relation to new classes of share and variations to the rights attached to existing classes.
