Anton has experience acting on acquisitions and disposals, management buy-outs, investments, corporate restructurings and reorganisations, shareholder arrangements and general corporate governance matters. He regularly assists senior colleagues and advises clients throughout the lifecycle of a transaction, from structuring and due diligence through to negotiation, completion and post-completion implementation.
A significant part of his practice involves advising on corporate reorganisations, including group restructurings, demergers, share capital reorganisations, reductions of capital and share buy-backs. He works closely with clients and their tax and accounting advisers to deliver commercially focused solutions tailored to their strategic objectives. In addition to transactional work, Anton advises companies and shareholders on constitutional documents, shareholders' agreements, directors' duties, Companies Act 2006 compliance and ongoing governance issues.
Anton’s recent experience includes:
advising on acquisitions and disposals of companies and businesses, including drafting share purchase agreements and asset purchase agreements;
assisting with management buy-outs and private company investments (coordinating transactions from heads of terms through to completion);
delivering corporate reorganisations, including group restructurings, demergers, share-for-share exchanges, reductions of share capital and share buy-backs, working alongside tax advisers to implement efficient structure;
advising on share incentive arrangements (including EMI share option schemes, growth shares, alphabet shares and preference share structures); and
advising borrowers on corporate finance transactions (including loan agreements, debentures, security documentation and registration of charges).
