Directors’ service contracts are a more comprehensive form of employment contract suitable for executive directors of a company (ie those who are also employees).
It is important to ensure that these agreements clearly set out what is expected of the director in their dual role – as a member of the board and as an employee. A clearly drafted agreement is the best start to a company’s relationship with a new director and can avoid lengthly and costly disputes if and when that relationship comes to an end.
In addition to the standard provisions that you will find in an employment contract, we also include, for example, additional clauses regarding the duties imposed on a director by virtue of the Companies Act 2006 and the procedures set out in the company’s articles, as well as appropriate restrictive covenants and details of any performance related remuneration.
